Terms & Conditions

The “customer” means the customer whose name appears on the quotation or invoice.

“Conditions” means the standard conditions of sale set out in this document and including any special terms and conditions agreed in writing between the Customer and the Company.

The headings in these Conditions are for convenience only and shall not affect their interpretation.

  1. Title to and ownership of any goods or materials shall at all times belong to the Company until full and final settlement is received.
  1. The Company’s invoices are net and shall be due and payable within 7 days of the date of invoice or upon collection of the vehicle if sooner unless otherwise stated on the invoice. Thereafter interest shall accrue to the Company at a rate of 2% per calendar month (or proportionately for any lesser period). No claim by the Customer shall entitle the Customer to withhold or delay payments of sums due.
  1. Value Added Tax will be added to all charges where applicable at the then prevailing rate.
  2. The company reserves the right to sub-contract any of its obligations to a third party and to assign or otherwise deal in any way whatsoever with the Company’s interest in the contractual works.
  3. The Contractual works by the Company to the Customer may be terminated by the Company without notice in the event that:
    1. the Customer fails to pay any charges hereunder within 7 days of the same having become due (whether demanded or not):
    2. the Customer is in breach of any of these terms and conditions,
    3. the Customer becomes bankrupt or goes into liquidation, or has a receiver appointed in the respect of the whole or any part of its assets or makes any arrangement or composition with its creditors
    4. the Customers credit worthiness drops to an unsustainable level
  1. Upon unexpected and sudden termination of contractual works, the customer shall pay to the Company forthwith all expenses, costs and charges whatsoever due to or incurred by the Company including any sums incurred by the Company in recovering its property or exercising any of its rights hereunder.
  2. No forbearance or indulgence shown or granted by the Company to the Customer (whether the Customer comprises one or more parties or a Subsequent User) in any regard whatsoever shall constitute a waiver by the Company of any of the Conditions to be performed by the Customer or any other person or in any way affect diminish, restrict or prejudice the rights and powers of the Company.
  1. Where the Customer comprises two or more parties, their liabilities shall be joint and several
  2. Any notice required to be given under these Conditions shall be sufficiently given if served on the party personally or sent by first class registered post to the last known address of the party and in the case of notice given by post shall be deemed to have been received on the second working day after the day of posting.
  1. This Agreement shall be governed by and construed in accordance with English Law and the parties agree to submit to the non-exclusive jurisdiction of the English Courts
  1. The Company shall sell, and the Customer shall purchase the Goods and services in accordance with any written order of the Customer which is accepted by the Company. 
  1. By placing an order for Goods the Customer shall be deemed to have read the conditions
  1. No variations in any of these terms and conditions is allowed without the expressed permission of the Company.
  1. The Job specification and description shall be as set out or referred to in the Company’s acceptance of order.
  1. The Company reserves the right to make any changes in the specification of the Goods which are required to conform to Health and Safety or other statutory requirements or that do not materially affect the quality or performance of the work.
  1. No order which has been accepted by the Company may be cancelled by the Customer except with the agreement in writing of Company and on terms that the Customer shall indemnify the company of any losses such as loss of profit and costs (including the cost of all labour, contracted or sub contracted, and materials used) damages charges and expenses incurred as a result of cancellation.
  1. Written quotations or estimates are valid for 30 days
  1. The Company reserves the right, by giving notice to the Customer at any time before delivery to increase the price of the Goods to reflect any increase and the cost to the Company which is due to alterations in taxation, changes in legislation or exchange rates. Any change of delivery dates. quantities or specifications of the Goods or special packaging which are requested by the Customer, or any delay caused by any instructions of the Customer or failure of the Customer to give the Company adequate information or instructions including changes to scheduled deliveries and where the Customer fails to inform third parties of changes in deliveries
  1. In the  opinion of the Company, if the credit-worthiness of the Customer shall have deteriorated prior to commencement of works the Company may require full, or partial payment of the price prior to commencement or the provision of security for payment by the Customer in a form acceptable to the Company.
  1. Any draw downs agreed at the outset may be subject to change should 21 apply as above
  1. Subject to the conditions and provisions in this contract the Company warrants to repair any defects in material and workmanship for a period of 1 month from the completion of the works, unless the defects in materials and workmanship are as attributable to any drawing. design or specification supplied by the Customer or;
  1. fair wear and tear
  2. neglect or misuse
  3. alterations to or repair of the works including failure to follow specific maintenance schedules provided by the company
  1. The Company shall not be liable to the Customer for loss or damage thatmay be suffered by the Customer whilst in the jurisdiction of the Company as a result or indirect result of (but no limited to);
    1. Strikes by third parties hindering or delaying essential materials
    2. Acts of God
    3. War
    4. Riots
    5. Trade disputes or disturbances
    6. Breakdown of machinery
    7. Difficulty or increased expense in obtaining technicians
    8. Materials
    9. Transport
